1. BASIC TERMINOLOGY

1.1 NAME The official name of the association is the CZECH SCREEN PRINTING ASSOCIATION and the abbreviation is the CSPA.

1.3 PURPOSE AND OBJECTIVES OF THE ASSOCIATION The Czech Screen Printing Association is an interest association of physical and legal entities who share a common interest in screen printing, serigraphy and digital printing. The CSPA creates a platform for the development of the above mentioned techniques, for the promotion of professional interests of its members in public life, especially in interaction with trade and business activities at official meetings, and also for the representation in international relations.

2. MEMBERSHIP

2.1 FULL MEMBERSHIP The full membership in the CSPA is open to any physical or legal entity (or an association of such entities) resident or seated in the territory of the Czech Republic. Such a member should be interested in screen printing, serigraphy and digital printing, and is obliged to pay the membership fees (hereinafter called the Association Member). The Association membership is approved or rejected by the Executive Management Board under the authority delegated to it by the the Congress. Full membership entitles the member to participate in the Association congresses, to vote to and be elected to the Association bodies, to participate in all the Association activities in accordance with these Articles, to be included in the Association directory and to receive information about professional events, courses and exhibitions concerning the area of screen printing both at home and abroad, and to use technical information from the Association Secretariat database. In professional events organized by the CSPA, the member has a privilege to a reduced participation fee, if such is granted.

2.2 SPECIAL MEMBERSHIP A special membership is granted mainly to private individuals - students and pensioners. Granting the special membership is approved by the Executive Management Board. Special members of the Association are required to pay membership fees in the total of 50 % of full membership fees. 2.3 HONORARY MEMBERSHIP Honorary members have the rights of full members, but they do not pay membership fees. The admission of honorary members is approved by the Executive Management Board and then confirmed by the Congress.

3. THE CZECH SCREEN PRINTING ASSOCIATION BODIES

3.1 THE CONGRESS The CSPA supreme body is the CONGRESS which is convened every two years. The convening of the Congress shall be published on a respective official information portal on the Internet at least 60 days before the date it will be held. The official information portal is determined by the Congress. Each association member has to follow this official information portal. The Congress is quorate when an absolute majority of all its members is present. The Congress decides by an absolute majority of present members; each present member shall have one vote. A member who is unable to attend the Congress has the right to delegate their vote by granting written full powers to another member. If the Congress is not quorate, the CSPA Executive Management Board is entitled to put the issues not decided at the Congress to a special vote declared and published on the Association official information portal. The subject of such a vote is a resolution proposed by the CSPA Executive Management Board, which will be placed verbatim on the Association official website, together with the announcement of the alternate voting. Within ten days after the publication of such an alternate voting, the members shall post their votes to the specified address. The proposed resolution which is the subject of such an alternate voting has to be approved by an absolute majority of all members of the Association. Later received votes will not be considered.

3.2 THE EXECUTIVE MANAGEMENT BOARD The Executive Management Board, elected by the Congress, controls the Association acivities in the period between Congresses. The Executive Management Board is formed by: the CSPA President, the CSPA Vice-President, the CSPA Secretary and the Members of the Executive Management Board. The Executive Management Board is an elected body and has 5 members. The Executive Management Board decides by an absolute majority of present Board members. If the number of yes and no votes is equal, the decisive vote belongs to the highest present official in the following order: the President, the Vice-President and the Secretary. The Executive Management Board is quorate when at least three of its members are present. The President and the Secretary are entitled to act on behalf of the CSPA. The President and the Secretary are entitled to act and sign on behalf of the CSPA independently, except for the cases defined by the Congress. If the President or the Secretary are unable to perform their duties or if one of them resigns, their powers and duties are taken over by the Vice-President. Concerning internal affairs, the Vice-President shall represent the President and the Secretary in case of their absence. The membership in the Executive Management Board is honorary. The membership in the Executive Management Board does not constitute a legal claim of the member to be remunerated by the Association.

3.3 THE SUPERVISORY BOARD The Association activities between the Congresses are monitored by the Superviosory Board elected by the Congress. The Supervisory Board is entitled to audit the CSPA accounts. The Supervisory Board consists of three members: the Chairman of the Supervisory Board and two Members of the Supervisory Board. The Supervisory Board is obliged to regularly inform the Congress about the results of its activities and is also authorized to provide these results to the members at any time. The membership in the Supervisory Board is honorary. The membership in the Supervisory Board does not constitute a legal claim of the member to be remunerated by the Association.

3.4 THE EXTRAORDINARY CONGRESS The Executive Management Board is entitled to convene an Extraordinary Congress to handle critical issues in the period between the regular Congresses. The Supervisory Board is also empowered to convene such an extraordinary congress. Finally, the Association Secretary shall convene an extraordinary congress in the case of a writtten request submitted by at least one half of all the Association members.

4. ECONOMIC PRINCIPLESThe Association manages the funds consisting of the membership fees and other incomes of the Association – these are primarily donations and grants from the members, the FESPA and third parties. The funds management is also governed by the Commercial Code, but only in exceptional cases. The funds are managed by the Secretariat according to the instructions given by the Executive Management Board; this management is supervised by the Supervisory Board. The CSPA Secretary is responsible for the bookkeeping. He shall submit the annual financial statement to the Executive Management Board for approval as late as 15 February of the year following the financial year. The Secretary is also responsible for filing the tax return for the above mentioned financial year. The accounting period of the Association is a calendar year.

5. THE SECRETARIATAll the Association paperwork is processed by the Secretariat managed by the Association Secretary. On the basis of a contract, the operation and duties of the Secretariat may also be executed by a specialized company . Such a contract is drawn up and signed by the Executive Management Board. The Secretariat also accepts the applications for membership and keeps the records of the members. The Secretariat manages the Association funds and property and through its Secretary regularly informs the Executive Management Board. It is also responsible for submitting the annual reports on management to the General Meeting or to the Congress.

6. CONCLUSIONThe Czech Screen Printing Association is duly registered as a professional interest association at The Ministry of the Interior of the Czech Republic. It is also a member of the FESPA. All the CSPA major issues, such as an alteration of its Articles, a dissolution of the Association (including the liquidation of its assets) are decided by the Congress.
